Important: These Terms must be reviewed by qualified counsel before publication, especially the sections on consumer cancellation rights, no-refund policy, auto-renewal, platform liability, moderation, ranking, governing law, and dispute resolution. These Terms should be cross-read with the Privacy Policy, Cookie Policy, Subscription and Auto-Renewal Terms, Cancellation and No-Refund Policy, Payment Processing Terms, and any country-specific notices.


1. Who we are

These Terms are between you and Converging Realities Ltd ("Academbee", "we", "us", or "our"), a company registered in Cyprus.

We operate the Academbee online platform for teachers, tutors, instructors, education providers, schools, academies, and people looking for education services.


2. What these Terms cover

These Terms govern access to and use of the Academbee website, apps, dashboards, customer portal, public profiles, listing pages, search features, messaging or inquiry tools, subscription features, verification workflows, support services, and any related digital services that link to these Terms (together, the "Platform").

These Terms apply to:

  • teachers, tutors, instructors, schools, academies, and other education providers who create an account or listing ("Customers", "Education Providers", or "Business Users");
  • visitors, parents, guardians, students, and other people browsing or contacting providers through the Platform ("Visitors" or "End Users");
  • anyone else who accesses or uses the Platform.

Where separate terms apply to a specific service, subscription, payment flow, or feature, those separate terms apply in addition to these Terms. If there is a conflict, the more specific terms apply to that specific service or feature.


3. Related legal documents

By using the Platform, you agree to these Terms and, where applicable, the following documents:

If you do not agree to these Terms, you must not use the Platform.


4. Plain-language summary

This summary is provided for convenience only. The full Terms below are legally controlling.

Academbee provides an online platform where Education Providers can create profiles and listings, and Visitors can discover or contact them. Academbee is not a school, teacher, tutor, agency, employer, broker, or party to lesson contracts between Education Providers and Visitors unless we expressly say otherwise in writing.

Paid Academbee plans are annual subscriptions. They renew automatically unless cancelled before renewal. We do not offer a free trial or voluntary money-back guarantee. Refunds are not provided except where mandatory law requires otherwise.

Education Providers are responsible for their own profiles, qualifications, claims, services, prices, taxes, contracts with students or parents, safeguarding obligations, insurance, and compliance with applicable laws.

We may moderate, restrict, suspend, remove, demote, or disable content or accounts that breach these Terms, create risk, are unlawful, or may harm users or the Platform.


5. Eligibility and authority

You may use the Platform only if you are at least 18 years old or the age of majority in your country, whichever is higher, and you are able to enter into a legally binding contract.

If you use the Platform on behalf of a school, academy, company, organisation, or other legal entity, you confirm that:

  • you have authority to bind that organisation;
  • the organisation agrees to these Terms;
  • you will ensure that all authorised users of the account comply with these Terms.

The Platform is not intended for direct use by children. Minors may only use the Platform under the supervision and responsibility of a parent or legal guardian, unless we provide a specific child-facing feature with separate terms and safeguards.


6. Account registration and security

To access certain features, you may need to create an account. You agree to provide accurate, complete, and current information and to keep it updated.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activity under your account;
  • promptly notifying us if you suspect unauthorised access;
  • ensuring that only authorised persons access your organisation's account.

You must not share login credentials, bypass authentication controls, impersonate another person, or create accounts using false information.

We may require email verification, phone verification, identity checks, business verification, document checks, or other verification steps before enabling certain features.


7. Customer accounts and roles

Academbee may support different account types, including free accounts and paid annual subscription accounts for teachers and schools.

Unless we expressly offer multi-user functionality, each account is intended for use by one authorised account owner or by the organisation that created it.

You are responsible for managing your internal access controls, staff access, and account permissions. We are not responsible for losses caused by your failure to protect account access, except where mandatory law says otherwise.


8. Academbee's role

Academbee provides technology tools for online discovery, profile publishing, listing management, messaging or inquiry routing, and subscription access.

Unless we expressly state otherwise:

  • we are not a party to any contract between an Education Provider and a Visitor, student, parent, or guardian;
  • we do not employ, manage, supervise, or control Education Providers;
  • we do not guarantee that any Education Provider is suitable for a specific student;
  • we do not guarantee the accuracy of profile content, lesson content, prices, availability, qualifications, reviews, or claims made by Education Providers;
  • we do not provide education, tutoring, childcare, safeguarding, legal, tax, immigration, financial, or professional advice.

Visitors must make their own checks before engaging an Education Provider. Education Providers must make their own arrangements with students, parents, or guardians.


9. Education Provider responsibilities

If you create a teacher, tutor, school, academy, or education-provider profile, you are responsible for ensuring that all information you provide is accurate, lawful, up to date, and not misleading.

You are responsible for:

  • your qualifications, licences, permits, registrations, insurance, and professional suitability;
  • your lesson descriptions, prices, availability, teaching modes, languages, and service claims;
  • your contracts and communications with students, parents, guardians, and other third parties;
  • complying with consumer, education, safeguarding, child protection, tax, VAT, employment, advertising, anti-discrimination, data protection, and professional rules that apply to you;
  • obtaining all rights and permissions needed for content you upload;
  • handling your own cancellations, lesson refunds, complaints, and disputes with your students unless Academbee expressly provides a relevant feature or policy.

You must not claim qualifications, approvals, licences, affiliations, awards, reviews, or verification status that you do not have.

If you teach or interact with children, vulnerable persons, or protected groups, you are solely responsible for complying with all applicable safeguarding, background-check, supervision, parental-consent, and reporting obligations.


10. Visitor and student responsibilities

Visitors and End Users agree to use the Platform lawfully and respectfully.

You must not:

  • send false, abusive, harassing, discriminatory, sexual, exploitative, threatening, or spam messages;
  • impersonate another person;
  • misuse inquiry forms;
  • scrape, harvest, or misuse provider contact details;
  • use the Platform to contact minors inappropriately;
  • use the Platform for recruitment, advertising, solicitation, fraud, or unrelated commercial activity without our consent.

Parents and guardians are responsible for any Platform use by minors under their supervision.


11. Subscriptions and billing

Paid access is governed by the Subscription and Auto-Renewal Terms and any checkout information shown before purchase.

Unless stated otherwise at checkout:

  • Academbee paid plans are annual subscriptions;
  • teacher and school plans are separate plan types;
  • no free trial is provided;
  • no coupons, discounts, or multi-seat plans are provided unless expressly offered;
  • the subscription renews automatically unless cancelled before the renewal date;
  • payment is collected through Stripe or another payment processor we identify;
  • we do not store full card numbers;
  • prices may include Cyprus VAT where stated, and other taxes may apply depending on your location and status.

You authorise us and our payment processor to charge your selected payment method for the subscription, renewal, taxes, and any applicable charges shown to you at checkout.

You must keep your billing information and payment method current.


12. Taxes and invoices

Prices, invoices, VAT treatment, reverse-charge treatment, withholding taxes, and local tax obligations may depend on your country, business status, VAT status, and billing details.

You are responsible for providing accurate billing, tax, and VAT information.

Where we are required to collect VAT, sales tax, or similar taxes, we may add or include those taxes as required by law.

Education Providers are solely responsible for taxes, VAT, social insurance, accounting, invoices, receipts, and regulatory obligations relating to their own lessons, services, and income from students or customers.


13. Automatic renewal

If you buy a paid subscription, it will renew automatically at the end of each subscription period unless you cancel before renewal in accordance with the Subscription and Auto-Renewal Terms.

Before renewal, we may send renewal notices where required by law or where we choose to do so. Failure to receive a reminder does not cancel your subscription unless mandatory law says otherwise.

You can cancel future renewal using the account settings or the cancellation process described in the Subscription and Auto-Renewal Terms.

Cancelling prevents future renewal but does not automatically create a refund for the current paid period unless mandatory law requires otherwise.


14. No trial and no voluntary refund policy

Academbee does not offer a free trial or a voluntary 14-day money-back guarantee.

When you purchase a paid subscription, you request immediate access to paid digital features. Our commercial policy is that subscription fees are non-refundable except where mandatory law requires otherwise.

This means that, unless mandatory law gives you a right to cancel and receive a refund:

  • cancelling during an active annual period does not refund the remaining period;
  • downgrading does not refund the price difference for the current period;
  • non-use of the Platform does not entitle you to a refund;
  • removal from search results due to your breach, non-payment, or cancellation does not entitle you to a refund.

Nothing in these Terms limits any mandatory cancellation, withdrawal, refund, repair, replacement, conformity, or other consumer rights that cannot legally be excluded.

The checkout flow and related subscription documents must clearly explain the subscription period, renewal, cancellation process, immediate access, and any withdrawal-right consequences before purchase.


15. Failed payments, grace periods, and loss of paid features

If a payment fails, we or our payment processor may retry the payment.

If payment remains unpaid after any applicable grace period, we may:

  • suspend or restrict paid features;
  • remove your profile or listings from search results;
  • disable public profile pages;
  • prevent new inquiries;
  • downgrade your account to a free tier, if available;
  • terminate the subscription.

We may retain account data for a limited period to allow reactivation, comply with law, resolve disputes, prevent fraud, or maintain records, as described in our Privacy Policy and data-retention notices.


16. Free features

Academbee may offer free features or free listing options. Free features may be limited, changed, suspended, or discontinued at any time, subject to mandatory law.

Free accounts may have reduced visibility, reduced functionality, usage limits, or other restrictions compared with paid accounts.

We do not guarantee that free accounts will appear in search results or remain publicly visible.


17. Public profiles, visibility, and search

Education Provider profiles may appear in public search results, listing pages, search-engine results, maps, category pages, and public profile pages if they are published and eligible.

Visibility may depend on factors such as:

  • subscription status;
  • account verification status;
  • profile completeness;
  • profile type;
  • subject, category, location, language, and teaching-mode relevance;
  • user search query;
  • geographic distance or approximate location matching;
  • availability of public profile data;
  • policy compliance;
  • safety, trust, and quality signals;
  • technical performance;
  • freshness or recency of updates;
  • user engagement signals;
  • manual or automated quality controls.

Paid subscription status may be required for certain public visibility features. Unless we expressly offer a paid ranking boost, payment for a standard plan does not guarantee a specific position, ranking, number of views, number of inquiries, number of students, or commercial outcome.

We may change ranking, display, search, and recommendation systems to improve relevance, quality, safety, performance, or compliance.


18. Verification and badges

Academbee may offer verification checks or badges for certain accounts, documents, qualifications, schools, payment status, or profile information.

A verification badge means only that the specific check described by Academbee was completed at the relevant time. It does not mean that we guarantee the Education Provider's identity, qualifications, quality, safety, availability, suitability, legality, or future conduct.

We may refuse, revoke, suspend, or re-check verification where information is incomplete, outdated, misleading, suspicious, disputed, or unlawful.

Education Providers must promptly update us if verified information changes.


19. Messaging and inquiries

Academbee may provide tools that allow Visitors to contact Education Providers. We may route, filter, store, review, moderate, or block messages to protect users, prevent abuse, enforce these Terms, or comply with law.

You must not use messaging or inquiry tools to:

  • send spam or mass messages;
  • harass or threaten others;
  • send unlawful, discriminatory, sexual, exploitative, or harmful content;
  • collect personal data unlawfully;
  • contact minors inappropriately;
  • bypass safety, anti-abuse, or payment controls;
  • send malware, phishing links, or deceptive content.

Academbee does not guarantee that any inquiry will be received, read, answered, or lead to a contract.


20. User content

"User Content" means content you upload, submit, send, publish, display, or otherwise make available through the Platform, including profile text, biographies, lesson details, images, logos, videos, links, documents, messages, reviews, comments, and verification information.

You retain ownership of your User Content. You grant Academbee a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display, publish, transmit, modify for formatting, translate, adapt for accessibility, create technical derivatives, and otherwise use your User Content as necessary to operate, secure, improve, promote, and provide the Platform.

For public profile content, this licence includes the right to display the content publicly on Academbee pages, search pages, profile pages, maps, previews, social sharing cards, emails, notifications, and search-engine-accessible pages.

You confirm that:

  • you own or have permission to use your User Content;
  • your User Content does not infringe intellectual property, privacy, publicity, confidentiality, consumer, advertising, or other rights;
  • your User Content is accurate and not misleading;
  • you have obtained all required permissions from people appearing in images, videos, or other media;
  • you will not upload sensitive personal data, children's data, health data, criminal-record data, or special-category data unless you have a lawful basis and our feature expressly supports it.

We may remove or restrict User Content as described in these Terms.


21. Content moderation and platform safety

We may moderate content and accounts to protect users, comply with law, enforce these Terms, prevent fraud, maintain quality, and protect the Platform.

Moderation actions may include:

  • refusing publication;
  • requesting edits or additional verification;
  • removing, hiding, disabling, or restricting content;
  • demoting or reducing visibility;
  • disabling messages or inquiries;
  • limiting access to features;
  • suspending or terminating accounts;
  • reporting illegal content or conduct to competent authorities where required or appropriate.

We may use a combination of automated tools, rules, keyword filters, abuse detection, risk scoring, manual review, user reports, trusted reports, and third-party service providers. Automated tools may assist moderation, but important decisions may be reviewed by appropriately trained staff where required by law.

We aim to apply moderation in a timely, objective, proportionate, and non-arbitrary manner, taking account of the nature of the content, the risk to users, legal requirements, and the rights of affected users.


22. Illegal content and reporting

If you believe content on the Platform is unlawful, infringes your rights, impersonates you, misuses your intellectual property, endangers a child, promotes fraud, or breaches these Terms, you may report it to us at:

support@academbee.com

Your report should include, where possible:

  • the exact URL or location of the content;
  • a clear explanation of why the content is unlawful or breaches these Terms;
  • your name and contact details;
  • evidence supporting your report;
  • a statement that the information you provide is accurate;
  • whether you are the rights holder, affected person, authorised representative, authority, or other reporter.

We may request additional information if the report is incomplete.

Where required by law, we may notify the affected user of the action taken and provide reasons, unless doing so would be unlawful, create risk, compromise an investigation, reveal confidential information, or enable abuse.


23. Complaints and appeals

You may contact us at support@academbee.com if you disagree with a moderation, restriction, suspension, termination, ranking, visibility, payment, or account decision.

Your complaint should include:

  • your account email;
  • the decision you are challenging;
  • why you believe the decision is incorrect;
  • any supporting evidence.

We will review complaints within a reasonable time, taking account of urgency, complexity, legal risk, safety risk, and available information.

Where required by applicable platform or business-user rules, we will provide access to an internal complaint-handling process that is free of charge and easy to access.

Where legally required, users may also have access to certified out-of-court dispute settlement bodies, regulators, consumer authorities, courts, or other redress mechanisms.

24. Acceptable use

You must use the Platform only for lawful, legitimate, and authorised purposes.

You must not:

  • breach any applicable law or regulation;
  • infringe intellectual property, privacy, publicity, confidentiality, or contractual rights;
  • upload false, misleading, deceptive, defamatory, discriminatory, hateful, exploitative, sexual, violent, or unlawful content;
  • misrepresent identity, qualifications, licences, reviews, school status, location, prices, or availability;
  • harass, threaten, abuse, stalk, or intimidate others;
  • exploit, endanger, groom, contact, or target minors unlawfully or inappropriately;
  • send spam, phishing, malware, scams, pyramid schemes, or deceptive messages;
  • scrape, crawl, harvest, copy, or extract Platform data except as permitted by law or with our written consent;
  • reverse engineer, decompile, or attempt to derive source code except as permitted by law;
  • bypass rate limits, access controls, subscription controls, robots.txt, security measures, or technical restrictions;
  • interfere with the Platform's operation, availability, integrity, or security;
  • use bots, automated scripts, fake accounts, or deceptive traffic;
  • test security vulnerabilities without written permission;
  • upload viruses, malware, or harmful code;
  • use the Platform for regulated services that require licences you do not hold;
  • use the Platform in a way that may damage Academbee's reputation or harm other users.

25. Reviews, ratings, and testimonials

If Academbee offers reviews, ratings, testimonials, or similar features, you must ensure that your submissions are genuine, lawful, fair, and based on real experience.

You must not:

  • submit fake reviews;
  • pay for undisclosed reviews;
  • review yourself or your own organisation;
  • manipulate ratings;
  • pressure users to leave positive reviews;
  • post reviews containing personal data, abuse, discrimination, confidential information, or unlawful allegations.

We may remove or restrict reviews that breach these Terms, appear unreliable, are disputed, or create legal or safety risk.

Academbee does not guarantee the accuracy of reviews.


26. Third-party services and links

The Platform may integrate with or link to third-party services, including payment processors, analytics providers, hosting providers, map services, email providers, authentication providers, social networks, and external websites.

Third-party services are governed by their own terms and privacy notices. We are not responsible for third-party services unless mandatory law says otherwise.

You must comply with applicable third-party terms when using integrated services.


27. Payments through Stripe or other processors

Payments may be processed by Stripe or another payment processor we identify. Payment processors may collect and process billing details, card details, authentication information, fraud-prevention signals, and transaction data.

We do not store full card numbers on our servers.

Stored payment methods, renewal charges, failed-payment retries, payment authentication, refunds, chargebacks, and disputes are governed by our payment terms and the payment processor's rules.

You must not use stolen, unauthorised, fraudulent, or invalid payment methods.


28. Data protection and privacy

Our processing of personal data is described in our Privacy Policy and Cookie Policy.

You must not use the Platform to collect, upload, or process personal data unlawfully.

Education Providers are responsible for their own data protection obligations when they collect or process personal data from students, parents, guardians, staff, or other third parties outside Academbee.

If you use Academbee features to process personal data on behalf of your organisation, you must ensure that you have a lawful basis and that your use complies with applicable data protection laws.

You must not upload unnecessary sensitive data, special-category data, children's data, health information, criminal-record information, or identity documents unless the feature expressly requires it and you have a lawful basis.

Where a data processing agreement is legally required for a specific service, the parties must enter into an appropriate agreement before using that service for such processing.


29. Cookies and tracking

We may use cookies, local storage, pixels, SDKs, and similar technologies for essential platform functions, analytics, security, fraud prevention, preferences, performance, and marketing where permitted.

Non-essential cookies or tracking technologies will be handled as described in the Cookie Policy and cookie consent tools.

You must not interfere with cookie consent tools or misrepresent user consent.


30. Intellectual property

Academbee, the Academbee name, logo, branding, designs, software, code, databases, workflows, UI components, content, documentation, and Platform materials are owned by us or our licensors.

Except as expressly permitted by these Terms, you must not copy, modify, distribute, sell, lease, sublicense, reverse engineer, scrape, frame, mirror, or exploit the Platform or Academbee materials.

You may use the Platform only for its intended purpose and in accordance with these Terms.

You may not use Academbee branding, logos, or trade names without our written permission, except where the Platform provides approved sharing or profile-badge functionality.


31. Feedback

If you send us ideas, suggestions, bug reports, improvements, or other feedback, you grant us a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free licence to use that feedback without restriction or compensation.

This does not affect your rights in personal data under applicable law.


32. Accessibility

We aim to make the Platform accessible and usable for a wide range of users, including people with disabilities.

If you experience accessibility barriers, contact us at support@academbee.com with details of the issue, the page or feature affected, your browser/device, and any assistive technology used.

Where applicable law requires specific accessibility standards, we will work toward compliance within the relevant scope and timelines, subject to legally permitted exceptions.


33. Availability, support, and changes to features

We aim to provide a reliable Platform, but we do not guarantee uninterrupted, error-free, or always-available access.

The Platform may be unavailable due to maintenance, updates, security work, outages, third-party failures, force majeure events, or technical issues.

We may add, modify, suspend, discontinue, rename, redesign, or limit features, provided we respect mandatory law and any specific commitments made in paid subscription terms.

Support is provided through the channels and response expectations we publish from time to time. Unless expressly agreed, we do not guarantee specific response times or service levels.


34. Beta, experimental, and AI-assisted features

We may offer beta, preview, experimental, automated, AI-assisted, or early-access features.

Such features may be incomplete, inaccurate, unavailable, changed, or discontinued. You should not rely on them for legal, safety-critical, financial, medical, safeguarding, or professional decisions.

Where automated systems assist with ranking, moderation, recommendations, abuse detection, support, or quality controls, we may use human review where required by law or where appropriate.


35. Security and vulnerability reporting

You must not attempt to gain unauthorised access to the Platform, user accounts, systems, networks, APIs, databases, or infrastructure.

You must not conduct penetration testing, vulnerability scanning, load testing, denial-of-service testing, or security research without our prior written permission.

If you discover a security issue, please report it responsibly to support@academbee.com and do not exploit, disclose, or access data beyond what is necessary to report the issue.


36. Suspension and restriction

We may suspend, restrict, remove, demote, disable, or limit your account, content, listing, messages, or access if we reasonably believe that:

  • you breached these Terms or related policies;
  • your content is unlawful or potentially unlawful;
  • your account creates fraud, safety, legal, reputational, or security risk;
  • payment fails or a subscription expires;
  • verification fails or information appears false or outdated;
  • your conduct harms or may harm users, minors, vulnerable persons, Academbee, or third parties;
  • we are required or requested to act by law, court order, regulator, payment processor, hosting provider, or competent authority;
  • your use may compromise the Platform's security, integrity, or availability.

Where legally required, we will provide reasons for restriction or suspension and an opportunity to complain or clarify the facts, unless doing so would be unlawful, create risk, compromise an investigation, reveal confidential information, or enable abuse.


37. Termination by you

You may stop using the Platform at any time.

You may cancel paid subscription renewal as described in the Subscription and Auto-Renewal Terms. Cancellation normally takes effect at the end of the current paid period unless mandatory law or specific checkout terms provide otherwise.

Deleting an account, unpublishing a profile, or stopping use does not automatically cancel a paid subscription unless the cancellation flow clearly confirms cancellation.

Where self-service account deletion is enabled, account deletion is requested through the relevant Danger zone flow and is governed by the Privacy policy, Cancellation and no-refund policy, and Subscription and Auto-Renewal Terms. Account deletion may place your account into a restricted grace-period state, remove or delist public profiles, cancel or stop subscription renewal as described in the billing terms, and permanently delete or anonymise personal data after the grace period unless a legal hold or lawful retention requirement applies.

You remain responsible for charges incurred before cancellation and for obligations that survive termination.


38. Termination by Academbee

We may terminate your account or subscription if:

  • you materially or repeatedly breach these Terms;
  • you fail to pay amounts due;
  • you misuse the Platform;
  • you provide false or misleading information;
  • you infringe rights or break the law;
  • your account creates unacceptable legal, safety, security, or reputational risk;
  • we discontinue the Platform or relevant service;
  • we are required to do so by law, court order, regulator, payment processor, hosting provider, or competent authority.

For Business Users, where legally required, we will provide notice and reasons before full termination, subject to legally permitted exceptions for urgent risks, repeated breaches, legal obligations, fraud, malware, spam, data breaches, cybersecurity risks, or other imperative reasons.


39. Effect of termination

After suspension or termination:

  • your access to the Platform may stop;
  • your public profile and listings may be removed or disabled;
  • messages and inquiries may no longer be available;
  • paid features may stop;
  • we may retain certain data as described in the Privacy Policy;
  • outstanding payment obligations remain due;
  • provisions intended to survive will continue to apply.

We are not required to preserve, export, or return User Content after termination except as required by law or expressly stated in our policies. If your account is scheduled for deletion, any available data export must be requested through the deletion flow during the grace period and may be subject to security checks and rate limits.


40. Disclaimers

To the maximum extent permitted by mandatory law, the Platform is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • the Platform will be uninterrupted, secure, or error-free;
  • defects will be corrected immediately;
  • search ranking or visibility will produce inquiries, students, revenue, or commercial outcomes;
  • Education Providers are suitable, qualified, safe, insured, licensed, or available;
  • profile content, reviews, prices, locations, or lesson information are accurate;
  • messages or inquiries will be delivered, read, or answered;
  • third-party services will be available or secure.

Nothing in these Terms excludes warranties, remedies, or rights that cannot be excluded under mandatory law.


41. Limitation of liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • wilful misconduct;
  • liability that cannot be limited or excluded under mandatory law;
  • consumer rights that cannot be excluded.

For consumers, we are responsible for losses that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill, subject to mandatory law. We are not responsible for business losses suffered by consumers.

For Business Users, to the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, punitive, or exemplary losses;
  • we are not liable for loss of profit, revenue, business, goodwill, opportunity, anticipated savings, data, or reputation;
  • we are not liable for actions, omissions, content, lessons, contracts, or disputes involving Education Providers, Visitors, students, parents, guardians, or third parties;
  • our total aggregate liability for all claims relating to the Platform in any 12-month period is limited to the fees you paid to Academbee for the relevant paid service during that 12-month period.

These limitations apply whether the claim is based on contract, tort, negligence, statutory duty, misrepresentation, restitution, or any other legal basis, to the maximum extent permitted by law.


42. Indemnity for Business Users

If you are a Business User, you agree to indemnify and hold Academbee, its directors, officers, employees, contractors, affiliates, and service providers harmless from claims, losses, damages, liabilities, penalties, costs, and expenses arising from:

  • your breach of these Terms;
  • your User Content;
  • your education services, lessons, contracts, cancellations, refunds, or disputes;
  • your dealings with students, parents, guardians, staff, contractors, or third parties;
  • your breach of law or third-party rights;
  • your tax, VAT, licensing, professional, safeguarding, employment, consumer, or data protection obligations.

This indemnity does not apply to the extent the claim is caused by Academbee's breach of these Terms, negligence, fraud, or conduct for which liability cannot be excluded.


43. Sanctions, export controls, and prohibited territories

You must not use the Platform if applicable sanctions, export-control laws, trade restrictions, or other laws prohibit you from doing so.

You must not use the Platform for unlawful cross-border activity, restricted services, sanctioned persons, sanctioned territories, money laundering, terrorist financing, fraud, or evasion of legal restrictions.

We may restrict or terminate access where required to comply with sanctions, export controls, payment rules, or legal obligations.


44. Consumer rights and mandatory law

These Terms do not limit any mandatory consumer rights that apply to you.

If you are a consumer, you may have rights under your local law relating to pre-contract information, cancellation, withdrawal, digital services, conformity, unfair terms, refunds, repairs, replacements, price reductions, complaints, and court access.

If any clause is unenforceable against a consumer under mandatory law, that clause will apply only to the maximum extent permitted or will not apply to that consumer.


45. Changes to these Terms

We may update these Terms from time to time.

For material changes affecting Business Users, we will provide notice on a durable medium where required by law. The notice period will be reasonable and proportionate and, where applicable, at least 15 days before the changes take effect. We will provide longer notice where required to allow significant technical or commercial adjustments.

We may make changes sooner where required by law, regulation, security, fraud prevention, cybersecurity risk, urgent operational need, or to address an unforeseen and imminent danger.

If you do not agree to updated Terms, you must stop using the Platform and, where applicable, cancel future renewal. Continued use after changes take effect means you accept the updated Terms, unless mandatory law requires a different process.

Editorial, formatting, clarification, typo, or non-material changes may take effect immediately unless law requires otherwise.


46. Notices

We may send notices by email, account dashboard, in-product notification, website notice, billing portal, or other reasonable method.

You are responsible for keeping your email address and account details current.

Notices sent by email are deemed received when sent, unless we receive a delivery failure notice.

47. Governing law and jurisdiction

These Terms are governed by the laws of Cyprus, unless mandatory law requires otherwise.

For Business Users, the courts of Cyprus will have exclusive jurisdiction, unless mandatory law requires otherwise.

For consumers, this governing-law and jurisdiction clause does not deprive you of mandatory consumer protections or court rights available in your country of habitual residence.

Counsel must confirm the final wording for EU, UK, and international users before publication.


48. Dispute resolution and complaints

Please contact us first at support@academbee.com so we can try to resolve the issue.

Consumers may also have rights to contact competent consumer authorities, alternative dispute resolution bodies, or courts.

The European Online Dispute Resolution platform has been discontinued. Do not include outdated ODR platform links unless counsel confirms a specific legal requirement.

For Cyprus consumer complaints, users may be able to contact the competent consumer protection authority or an approved alternative dispute resolution body, depending on the nature of the dispute.

For Business Users, any required platform-to-business complaint-handling or mediation information must be completed and kept up to date before publication.


49. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations to an affiliate, successor, acquirer, or purchaser of our business or assets, provided this does not reduce mandatory consumer rights.


50. Severability

If any part of these Terms is found invalid, unlawful, or unenforceable, that part will be limited or removed to the minimum extent necessary, and the remaining Terms will continue in effect.


51. No waiver

If we do not enforce a provision of these Terms immediately, that does not mean we waive the right to enforce it later.


52. Entire agreement

These Terms, together with the related legal documents and checkout terms referred to in them, form the agreement between you and Academbee regarding the Platform.

They replace any prior or inconsistent terms relating to the same subject matter, except where a separate written agreement signed by Academbee expressly says otherwise.


53. Language

These Terms may be translated into other languages. If there is a conflict between translations, the English version controls unless mandatory law requires otherwise.
