1. Who we are

Converging Realities Ltd (“Academbee”, “we”, “us”) provides an online platform for teachers, tutors, music schools, educational providers, and similar education-related businesses.

Academbee operates the online platform available through our websites and apps, including customer dashboard, profile, lessons, messaging, and listing features.


2. What these terms cover

These Subscription and auto-renewal terms explain:

  • what paid annual subscriptions include;
  • how annual billing and automatic renewal work;
  • how payment methods are stored and charged;
  • what happens if payment fails;
  • how upgrades, downgrades, cancellation, and renewal notices work;
  • when statutory withdrawal, cooling-off, refund, or cancellation rights may apply.

These terms apply to paid Teacher and School annual plans.

If there is a conflict between these terms and the general Terms of service about subscription billing, renewal, cancellation, or payment, these subscription terms apply to that specific topic, unless mandatory law says otherwise.


3. Customer status: consumer or business customer

Academbee may be used by:

  1. Consumers, for example an individual tutor purchasing a subscription mainly for personal or non-business purposes; and
  2. Business customers, for example a school, company, partnership, self-employed professional, or organisation purchasing a subscription for professional or commercial purposes.

Some legal rights apply only to consumers. Other rights apply to all customers or cannot be excluded by contract.

When you subscribe, you must provide accurate billing information. If you subscribe on behalf of a school, company, or other organisation, you confirm that you are authorised to bind that organisation.


4. Subscription plans

A paid annual subscription gives access to paid features for twelve (12) months, unless cancelled, terminated, or changed in accordance with these terms.

Plan Summary
Teacher annual plan Paid teacher profile, lessons, messaging, and related paid features according to the current product specification.
School annual plan Paid school profile, multiple locations, lessons, messaging, and related paid features according to the current product specification.

The current plan features, limits, prices, and included functionality are shown on the billing page before purchase.

Academbee currently does not offer:

  • monthly billing;
  • free trials;
  • coupons or promotional discount codes;
  • multi-seat subscriptions;
  • separate enterprise procurement terms, unless agreed in writing.

5. Free plan

Academbee may provide a free plan or free account experience. The free plan may include limited dashboard access, account management, onboarding, and other free features.

Free plan accounts may have reduced or restricted public visibility. Unless the billing page or product interface says otherwise, a free account does not include paid public search visibility, paid profile publication, paid lessons visibility, or paid messaging features.

We may change the free plan from time to time, provided we do not remove rights that mandatory law requires us to provide.


6. Paid access does not guarantee publication

A paid subscription gives access to paid subscription features. It does not guarantee that every profile, lesson, image, description, message, or listing will be published or remain published.

Publication and visibility may depend on:

  • verification status;
  • compliance with our Terms of service;
  • moderation and anti-abuse checks;
  • profile completeness;
  • location and privacy settings;
  • applicable legal or safety requirements;
  • whether your subscription is active and paid.

We may remove, hide, restrict, or moderate content where permitted under the Terms of service or required by law.


7. Price, VAT, tax, and invoices

Before you pay, the checkout page shows:

  • the selected plan;
  • the subscription period;
  • the total amount due today;
  • whether the subscription renews automatically;
  • the renewal frequency;
  • the renewal date or how it is calculated;
  • applicable VAT, sales tax, GST/HST, or other transaction tax where we are required to collect it;
  • available payment methods;
  • cancellation information.

Unless stated otherwise at checkout, prices are shown inclusive of applicable VAT or tax where required by law.

For Cyprus customers, Cyprus VAT may apply. For EU cross-border sales, VAT treatment may depend on whether you are a consumer or business customer, your country, and whether you provide a valid VAT number. For UK, US, and Canadian customers, applicable tax may depend on local tax rules and payment location.

You are responsible for providing accurate billing details, including business name, VAT number, tax number, address, and country where required.

Invoices or receipts are provided electronically through Academbee, Stripe, email, or the billing page.


8. How a subscription contract is formed

A subscription contract is formed when:

  1. you select a paid plan;
  2. the checkout page shows the key subscription terms;
  3. you confirm the purchase using the payment button; and
  4. payment is authorised or successfully completed.

The payment button must clearly indicate that you are placing a paid order, for example:

Pay and start annual subscription

or similar wording that makes clear that payment is required.

After purchase, we send an order confirmation or subscription confirmation by email. The confirmation may include:

  • selected plan;
  • price paid;
  • tax/VAT details where applicable;
  • subscription start date;
  • subscription end date;
  • renewal date;
  • automatic renewal terms;
  • cancellation method;
  • support contact;
  • link to these terms.

9. Automatic renewal

Paid annual subscriptions renew automatically each year unless cancelled before renewal.

Each paid period is one year from the subscription start date or renewal date shown in your account or invoice.

At renewal, we charge the default payment method stored with Stripe for the next annual subscription period, unless:

  • you cancel before renewal;
  • payment fails and is not resolved during the grace period;
  • we cancel or terminate the subscription;
  • renewal is not permitted by applicable law;
  • your account has been moved to a sponsored or complimentary arrangement;
  • another written agreement applies.

By subscribing, you authorise Academbee, through Stripe, to charge your default payment method for recurring annual subscription fees until you cancel or the subscription otherwise ends.


10. Renewal reminders

We send renewal reminders to the email address associated with your billing account.

For annual subscriptions, we normally send reminder emails:

  • approximately 30 days before renewal; and
  • approximately 14 days before renewal.

After the 14-day reminder, we may also show a persistent account notice until you renew successfully, cancel, or the subscription ends.

Where local law requires a different or additional notice period, we will provide any legally required notice. For example, some jurisdictions may require a renewal notice within a specific window before the renewal charge.

You are responsible for keeping your account email address up to date. Failure to receive an email because your contact details are outdated does not cancel your subscription, unless mandatory law says otherwise.


11. Payment processing and card storage

Stripe processes payments for Academbee.

Academbee does not store your full card number or full payment card security code.

Stripe may store payment method details, tokens, billing information, and transaction data to process payments, prevent fraud, support recurring billing, and comply with payment laws and card network rules.

You can update your payment method through the Billing page using Stripe’s secure payment fields or Stripe-hosted billing tools where available.

Deleting or changing a payment card does not automatically cancel your subscription. If no valid payment method is available at renewal, the failed payment process in these terms applies.

12. Failed payment and 7-day grace period

If a renewal payment fails:

  1. we email you and may show an in-app notice;
  2. Stripe or Academbee may retry payment;
  3. you have 7 calendar days to update your payment method and complete payment;
  4. during the grace period, paid access normally continues;
  5. if payment is still unpaid after the grace period, your account moves to the free plan experience.

When an account moves to the free plan experience:

  • paid-only dashboard areas may show upgrade prompts;
  • paid public search visibility may stop;
  • your public profile page may no longer be shown to end-users;
  • paid lesson visibility may stop;
  • paid messaging features may be disabled or restricted;
  • we may cancel or mark the subscription unpaid in Stripe.

Moving to the free plan does not delete your account data immediately. Data retention is handled under our Privacy policy, Terms of service, and applicable retention rules.


13. Payment disputes, chargebacks, and billing errors

If you believe a charge is incorrect, contact support@academbee.com as soon as possible.

We will review billing errors in good faith and correct confirmed errors where required.

If you initiate a chargeback or payment dispute, we may need to suspend, restrict, or cancel paid access while the dispute is investigated, unless applicable law prevents this.

Chargebacks do not automatically cancel a subscription. You should still cancel through Billing or by contacting support if you want to stop future renewals.


14. Upgrades

You may upgrade from Teacher to School where available.

An upgrade may require immediate payment, usually calculated as a pro-rated difference for the remaining part of the current annual period.

Before confirming an upgrade, we show:

  • the new plan;
  • the amount due today;
  • whether the amount is pro-rated;
  • any tax/VAT;
  • the effective date;
  • the next renewal date;
  • the renewal price if different.

The upgrade takes effect after successful payment or confirmation, depending on the checkout flow.

We send an email confirmation after the upgrade.


15. Downgrades

You may request to downgrade from School to Teacher where available.

Unless mandatory law says otherwise:

  • downgrades take effect from the next renewal date;
  • there is no refund or credit for unused time on the higher plan;
  • the lower Teacher annual price applies from the next renewal only.

Before downgrading from School to Teacher, you must reduce your account to the Teacher plan limits. For example:

  • Teachers are limited to one location;
  • you may need to select one primary location;
  • additional school locations may need to be removed, archived, hidden, or disabled;
  • school-only features may stop working at the next renewal.

The downgrade confirmation email states:

  • current plan;
  • new plan;
  • effective date;
  • renewal date;
  • no-refund rule, unless mandatory law says otherwise;
  • any account actions required before the downgrade can be completed.

16. Sponsored or complimentary accounts

Academbee may provide sponsored, complimentary, partner-funded, or manually granted access at its discretion.

Sponsored access may:

  • have no payment requirement;
  • have a defined end date;
  • be changed between Teacher and School tiers according to product rules;
  • be withdrawn or changed according to the sponsorship terms;
  • be subject to verification, moderation, and acceptable use rules.

Sponsored accounts do not create a right to continued free access unless we expressly agree otherwise in writing.


17. Cancellation by you

You may cancel your paid plan:

The Billing page must provide a clear cancellation action, for example:

Cancellation stops future renewals. Unless mandatory law says otherwise, cancellation does not refund the current paid period.

After cancellation:

  • you keep paid access until the end of the current paid annual period;
  • no further renewal charge is made for that subscription;
  • after the paid period ends, your account moves to the free plan experience;
  • your profile may be removed from public search;
  • your public profile page may no longer be accessible to end-users;
  • paid lessons and paid messaging features may be disabled.

We may send a cancellation confirmation email.


18. Cancellation by Academbee

We may cancel, suspend, or restrict a subscription where permitted by law and the Terms of service, including where:

  • payment fails;
  • we cannot verify payment or billing details;
  • you breach the Terms of service;
  • your content or use of the platform creates legal, safety, abuse, fraud, or reputational risk;
  • we are required to do so by law, regulator, payment processor, card network, or court order;
  • we discontinue a plan or feature.

Where reasonable and legally permitted, we will give notice before cancellation or suspension.

Refunds for cancellation by Academbee depend on the reason for cancellation and applicable law. If we cancel without fault on your part, we may provide a pro-rated refund or alternative remedy where required or appropriate. If we cancel because of serious breach, fraud, misuse, or unlawful activity, no refund is provided unless mandatory law requires one.


19. Statutory withdrawal, cooling-off, and refund rights

Academbee does not offer a voluntary free trial or voluntary 14-day money-back guarantee.

However, statutory withdrawal, cooling-off, cancellation, or refund rights may apply depending on:

  • your country;
  • whether you are a consumer or business customer;
  • the type of digital service purchased;
  • whether paid access began immediately;
  • whether you expressly requested immediate access;
  • whether local auto-renewal rules apply;
  • whether the charge is an initial purchase, renewal, upgrade, or other payment.

Nothing in these terms limits rights that cannot legally be excluded.


20. EU and UK consumer withdrawal rights

If you are an EU or UK consumer purchasing online, you may have a statutory right to withdraw from the subscription contract within 14 days from the date the contract is concluded.

Because Academbee provides digital services that may begin immediately after payment, the checkout flow may ask you to confirm that:

  1. you want access to begin immediately; and
  2. you understand that this may affect your statutory withdrawal or refund rights.

If you exercise a statutory withdrawal right during the 14-day period, we will provide the refund required by applicable law.

Where permitted by law, if you requested immediate access and used the paid service during the withdrawal period, we may deduct or charge a proportionate amount for the service provided before withdrawal.

If local law gives you stronger rights, those stronger rights apply.

Business customers do not receive consumer withdrawal rights unless mandatory law says otherwise.


21. Renewals and local cancellation rights

Some jurisdictions provide special rights for automatic renewals, including notice, consent, acknowledgement, cancellation, or post-renewal refund rules.

Where those rules apply, we will honour them.

For example, local law may require:

  • clear disclosure of automatic renewal terms before purchase;
  • express consent to recurring billing;
  • an acknowledgement email after purchase;
  • a renewal reminder within a specific time window;
  • a simple online cancellation method;
  • cancellation without unnecessary obstacles;
  • additional rights after renewal;
  • specific wording in renewal notices.

These terms are intended to be read subject to any mandatory local auto-renewal rights that apply to you.


22. No refunds outside statutory rights

Unless mandatory law requires otherwise, or unless we expressly agree in writing, we do not provide refunds or credits for:

  • cancellation after the statutory withdrawal period;
  • unused months in an annual subscription;
  • downgrades that take effect at next renewal;
  • failure to use paid features;
  • failure to complete your profile;
  • failure to keep your billing email up to date;
  • removal or moderation of content that breaches our terms;
  • loss of public visibility due to non-payment, failed verification, or breach.

This no-refund rule does not affect:

  • statutory withdrawal or cooling-off rights;
  • mandatory consumer rights;
  • remedies for billing errors;
  • remedies for service non-conformity where applicable law provides them;
  • refunds we choose to provide at our discretion.

23. Digital service conformity and remedies

Where consumer law requires digital services to conform to the contract, Academbee will provide the remedies required by applicable law.

Depending on your country and customer status, remedies may include repair, replacement, price reduction, termination, refund, or another legal remedy.

This section does not create extra commercial warranties beyond those required by law and the Terms of service.


24. Plan, feature, and price changes

We may change plans, features, limits, or prices from time to time.

For current paid customers, price changes normally apply at the next renewal, not during the current paid period, unless:

  • the change is required by law or tax rules;
  • the change is caused by a third-party payment, tax, or regulatory requirement;
  • you upgrade, downgrade, or change plan;
  • we expressly tell you otherwise and applicable law allows it.

If we increase your renewal price, we will provide advance notice as required by law and give you a reasonable opportunity to cancel before the new price applies.

If we materially reduce paid features during a paid period, we will handle this in accordance with the Terms of service and applicable law.


25. Communications about billing

We may send billing and subscription communications by email, in-app notice, account dashboard notice, or Stripe-hosted billing notice.

Billing communications may include:

  • payment confirmation;
  • invoice or receipt;
  • renewal reminder;
  • failed payment notice;
  • cancellation confirmation;
  • plan change confirmation;
  • price change notice;
  • tax or invoice correction;
  • account action required notice.

These are transactional communications, not marketing emails. You may not be able to opt out of essential billing notices while you have an active account or subscription.


26. Account owner responsibility

The account owner is responsible for:

  • keeping billing details accurate;
  • maintaining a valid payment method;
  • reviewing renewal reminders;
  • cancelling before renewal if they do not want the subscription to continue;
  • ensuring that authorised users do not make unintended changes;
  • complying with Teacher or School plan limits.

If you believe someone made an unauthorised subscription purchase or plan change, contact support@academbee.com promptly.


27. Taxes and customer declarations

If you provide a VAT number, tax number, exemption certificate, business address, or similar tax information, you confirm that it is accurate and that you are authorised to use it.

If tax treatment changes because you provided incorrect or incomplete information, we may correct invoices, collect additional tax, cancel invoices, or request updated billing details.

Tax treatment is subject to applicable law and may change.


28. Local market notes

EU

EU consumers may have pre-contract information rights, withdrawal rights, unfair terms protection, and remedies for digital services.

EU business customers may have different rights depending on applicable commercial law and contract terms.

Cyprus

Academbee is established in Cyprus. Cyprus law may apply together with mandatory consumer protection rules in your country.

UK

UK consumers may have withdrawal, cancellation, unfair terms, and subscription contract rights. UK subscription rules are changing, and UK-specific notices, cooling-off periods, and cancellation workflows must be reviewed before UK launch or active UK marketing.

USA

US federal and state laws may regulate automatic renewal, negative option billing, disclosures, consent, acknowledgements, renewal reminders, and cancellation methods.

Where US state law gives you mandatory rights, those rights apply. California and other states may impose specific requirements for automatic renewal programmes.

Canada

Canadian federal and provincial laws may regulate pricing, renewal notices, cancellation, disclosure, unfair practices, and misleading representations.

Some Canadian provinces may require specific renewal notice timing or cancellation rights. Québec and other provinces must be reviewed before active launch or targeted marketing in Canada.


29. How to cancel or withdraw

To cancel future renewals:

  1. go to Billing in your Academbee account;
  2. select Cancel paid plan; or
  3. email support@academbee.com.

To exercise a statutory withdrawal or cooling-off right, email support@academbee.com and include:

  • your name;
  • account email;
  • plan purchased;
  • purchase date;
  • statement that you wish to withdraw or cancel under applicable statutory rights.

You may use the model form below, but you do not have to use this exact form unless local law requires it.

We aim to respond within a reasonable time. Response times may vary during weekends, holidays, or high-volume periods.


32. Changes to these terms

We may update these terms from time to time.

If changes materially affect your paid subscription, renewal, cancellation, or billing rights, we will provide notice where required by law.

Changes normally apply from the date stated in the updated terms. For current paid subscriptions, material price or renewal changes normally apply from the next renewal unless mandatory law or the notice says otherwise.


33. Governing law and jurisdiction

These terms are governed by the laws of Cyprus, unless mandatory law gives you additional rights in your country of residence or place of establishment.

If you are a consumer, you may have the right to bring claims in your local courts or rely on mandatory consumer protections in your country.

If you are a business customer, the courts of Cyprus have jurisdiction, unless another written agreement or mandatory law applies.


34. Mandatory rights

Nothing in these terms excludes, limits, or restricts rights that cannot legally be excluded, limited, or restricted.

If any part of these terms is invalid or unenforceable, the remaining parts continue to apply.

Unfair terms do not bind consumers where applicable law says they are unfair.


35. Product and legal implementation checklist

Before publication, Academbee should confirm that checkout, billing, and email flows implement these terms.

Minimum required checks:

  • checkout clearly states the plan, price, tax, duration, renewal, and cancellation method;
  • payment button clearly indicates payment obligation;
  • automatic renewal consent is captured before payment;
  • immediate digital access acknowledgement is captured where needed;
  • post-purchase confirmation email includes renewal and cancellation information;
  • renewal reminders are sent at the legally required time for each market;
  • Billing page includes clear cancellation action;
  • cancellation confirmation email is sent;
  • failed payment grace flow matches these terms;
  • downgrade from School to Teacher enforces one-location limit;
  • Stripe customer portal or billing page allows payment method update;
  • legal counsel reviews EU, UK, US state, and Canadian provincial variations before launch.
